Terms & Conditions
1. General Terms
These Terms and Conditions ("Agreement") govern all transactions between Anvil Works ("Anvil," "we," "us," or "our") and our customers ("Customer," "you," or "your"). By engaging with Anvil Works for products or services, you agree to these terms.
2. Product Purchases and Warranties
All product warranties are provided solely by the manufacturer ("OEM"). Anvil Works does not provide any warranties, express or implied, on any products purchased on behalf of our customers. It is the sole responsibility of the Customer to work directly with the OEM (including, but not limited to, Dell, Lenovo, Fortinet, and Palo Alto) to ensure that proper warranty coverage is in place. Anvil Works shall not be liable for any defects, malfunctions, or failures related to OEM products.
3. Liability and Limitations
Anvil Works' liability for any claims, damages, or losses shall not exceed the total amount specified in the applicable Statement of Work ("SOW"). For example, if an SOW is valued at $25,000, the maximum liability of Anvil Works shall be limited to $25,000. Under no circumstances shall Anvil Works be liable for indirect, incidental, consequential, or special damages, including but not limited to loss of revenue, profits, or business opportunities.
4. Services and Performance
Anvil Works agrees to provide professional services as outlined in each SOW. The Customer acknowledges that service delivery timelines are estimates and may be subject to unforeseen circumstances. The Customer shall cooperate in good faith to facilitate service execution.
5. Payment Terms
Unless otherwise stated in an SOW or invoice, all payments are due within thirty (30) days from the date of invoice. Late payments may be subject to interest charges at a rate of 1.5% per month or the highest amount permitted by law. Anvil Works reserves the right to suspend services for non-payment.
6. Dispute Resolution and Arbitration
Any disputes arising under or related to this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA). Arbitration shall take place in the state where Anvil Works is headquartered. Each party shall bear its own legal fees and arbitration costs, unless otherwise awarded by the arbitrator.
7. Indemnification
The Customer agrees to indemnify and hold harmless Anvil Works, its employees, agents, and affiliates from any claims, liabilities, damages, or expenses arising from Customer’s misuse of products or services, failure to obtain adequate warranties, or third-party claims related to the Customer’s business operations.
8. Confidentiality
Both parties agree to maintain the confidentiality of proprietary or sensitive information disclosed during business engagements. Confidential information shall not be shared with third parties without prior written consent, except as required by law.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the state in which Anvil Works is headquartered, without regard to its conflict of laws principles.
10. Amendments
Anvil Works reserves the right to modify these Terms and Conditions at any time. Updated terms will be posted on our official website and will take effect upon posting.
By engaging in transactions with Anvil Works, you acknowledge and agree to these Terms and Conditions. If you do not agree, you should refrain from using our products or services.
